Job Description

Summary:

We seek an attorney to protect the interests of, and to ensure the highest legal standards for, a small, private investment firm that manages a portfolio of approximately 16 related companies in several industries including commercial real estate, hospitality, and consumer tech. In-House Counsel will serve as our primary advisor on all legal matters, including guiding company policy to reflect legislative changes and legal compliance, drafting and negotiating agreements, ensuring best practices, managing corporate organization and compliance and assistance in strategic planning. Positive work environment with flexible home/office requirements and congenial management team.

Responsibilities:  

· Provide expert legal counsel to the President and senior management on all corporate matters, including compliance, risk management, and strategic decisions;

· Draft, review, and negotiate agreements for all companies;

· Oversee corporate governance practices, including maintaining physical and digital corporate records, organizing board meetings, and ensuring compliance with corporate laws;

· Manage and maintain a centralized repository of legal documents and contracts, ensuring they are up-to-date and easily accessible;

· Ensure that all portfolio companies adhere to relevant laws and regulations, including securities laws, privacy laws, employment laws, and industry-specific regulations;

· Manage and coordinate with external legal counsel on legal issues, initiatives, and litigation matters, including dispute resolution and potential legal claims;

· Provide legal support for mergers, acquisitions, divestitures, and other significant transactions;  

· Oversee intellectual property matters;

· Advise on employment-related issues, including employee contracts, terminations, and compliance with labor laws and regulations;

· Ensure compliance with data privacy laws and regulations, including the implementation of best practices for data protection;

· Identify potential legal risks and develop strategies to mitigate them;

· Assist in developing and implementing internal policies and procedures to ensure legal and regulatory compliance across the organization;

· Support strategic business planning by providing legal insights and analysis on potential risks and opportunities, and

· Perform other related duties as assigned.

Requirements:

  • J.D. from an ABA accredited law school and member in good standing with at least one State bar
  • Excellent academic credentials
  • 5 to 10 years of experience as a corporate/business attorney
  • Outstanding verbal and written communication skills
  • Excellent drafting and negotiation skills
  • Strategic acumen and excellent problem-solving capabilities
  • Demonstrable professionalism, ethics and integrity
  • Ability to thrive in a dynamic environment with a diverse range of legal issues
  • Proficient with MS Office Suite applications (Word, PowerPoint, and Outlook)

The ideal candidate will have experience in at least three of the following areas:

  • Mergers and acquisitions
  • Corporate law
  • Commercial transactions
  • Real estate, including shopping centers, leasing and tenant disputes
  • Technology law, including regulatory framework for key international, federal and state privacy laws; cybersecurity; licensing of complex information technology, including privacy and data security clauses and key risk allocation issues such as indemnification and limitation on liability
  • Intellectual property
  • Employment law

Salary

Base salary range is $150,000 to $170,000 depending on experience.
